T-Mobile to acquire most of U.S. Cellular in $4.4 billion deal; U.S. Cellular shares surge
Shares of U.S. Cellular surged nearly 6% on Tuesday following T-Mobile's announcement of its plans to acquire the majority of U.S. Cellular, including its stores, some spectrum assets, and its customer base, in a deal valued at $4.4 billion. According to a press release from T-Mobile, up to $100 million of the deal’s cash portion is contingent on meeting specific financial and operating metrics between the deal's signing and closing. Shares of T-Mobile also saw an increase, rising more than 1% during Tuesday’s trading session.
T-Mobile will acquire approximately 30% of U.S. Cellular’s wireless spectrum as part of the transaction. The agreement also includes new long-term leases on at least 2,015 U.S. Cellular-owned towers and extensions on approximately 600 existing leases, securing a strong anchor tenant for U.S. Cellular for at least 15 years post-deal.

Earlier in May, The Wall Street Journal reported that T-Mobile and Verizon were in discussions to divide U.S. Cellular’s wireless spectrum. However, it indicated that a separate transaction with Verizon could be delayed or may not materialize.
The companies anticipate the T-Mobile and U.S. Cellular deal to close by mid-2025, pending regulatory approvals and customary closing conditions.
